1. Acceptance of Terms

By accessing and using LinkPay ("the Service", "Platform", "we", "us", or "our"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. These Terms constitute a legally binding agreement between you and LinkPay SIA. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

LinkPay is a SaaS (Software as a Service) platform that enables users to create and share payment links for accepting payments. Our Service includes:

• Payment link creation and management
• Custom URL configuration for payment links
• Usage limits and expiration date settings
• Click tracking and analytics
• Integration with Stripe Connect for secure payment processing
• Real-time payment notifications
• Subscription plans with different transaction fee tiers

3. User Accounts and Registration

To access the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account
• Comply with Stripe's Terms of Service when connecting your Stripe account

4. Stripe Connect Integration

LinkPay integrates with Stripe Connect to process payments. This means:

• All payment processing is handled by Stripe, not LinkPay
• You must create and connect a Stripe account to accept payments
• Stripe stores and processes all sensitive payment data (card numbers, banking information, customer payment details)
• LinkPay only stores your Stripe Account ID as a reference to facilitate the platform's functionality
• You must comply with Stripe's Terms of Service and Privacy Policy
• Stripe's fees apply in addition to LinkPay's platform fees
• Payment disputes, chargebacks, and refunds are handled through Stripe

By using LinkPay, you acknowledge that you will be subject to Stripe's terms and that Stripe will process payments on your behalf. We recommend reviewing Stripe's Terms of Service and Privacy Policy at https://stripe.com/legal.

5. Payment Processing Terms

LinkPay acts solely as a platform provider and does NOT process, store, or handle any sensitive payment information. All payment processing, including the collection and storage of payment card data, is performed exclusively by Stripe. LinkPay is not responsible for payment processing errors, failed transactions, disputes, or chargebacks. All payment-related issues must be resolved through Stripe's systems and support channels.

6. Platform Fees and Subscriptions

LinkPay charges platform fees for using the Service:

• Transaction fees apply based on your subscription tier (Free, Pro, or Ultimate)
• Subscription fees are billed monthly and automatically renew
• Subscription fees are non-refundable except as required by law
• You may cancel your subscription at any time, with cancellation taking effect at the end of the current billing period
• We reserve the right to change our pricing with advance notice
• Price changes will not affect existing subscriptions until renewal

7. Merchant Responsibilities

As a merchant using LinkPay, you are responsible for:

• Providing accurate descriptions of your products or services
• Fulfilling orders and delivering products/services as promised
• Handling customer service and support for your customers
• Complying with all applicable laws, including consumer protection and tax laws
• Maintaining proper business licenses and registrations
• Setting appropriate prices and payment terms
• Responding to payment disputes and refund requests through Stripe

8. Prohibited Uses

You agree not to use the Service for:

• Any illegal activities or purposes
• Fraudulent or deceptive practices
• Sale of prohibited items (as defined by Stripe's prohibited businesses list)
• Money laundering or terrorist financing
• Violating intellectual property rights
• Sending spam or unsolicited communications
• Impersonating any person or entity
• Interfering with or disrupting the Service or servers
• Attempting to gain unauthorized access to the Service
• Using automated systems to scrape or download content

9. Data Protection and Privacy

LinkPay collects and stores minimal personal data: your email address for authentication and your Stripe Account ID for platform functionality. We do NOT collect, store, or process any sensitive payment information, customer payment details, or banking information. All such data is processed and stored exclusively by Stripe. 10. Intellectual Property

The Service and its original content, features, and functionality are owned by LinkPay SIA and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of content you submit to the Service, such as payment link names and descriptions. By using the Service, you grant us a limited license to use such content solely for the purpose of providing the Service to you.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT GUARANTEE SUCCESSFUL PAYMENT PROCESSING, AS THIS IS DEPENDENT ON STRIPE'S SERVICES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINKPAY SIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users or third parties, violates applicable laws, or is fraudulent or abusive. Upon termination, your right to use the Service will immediately cease. You may also terminate your account at any time through your account settings.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Latvia, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Latvia. For users in the European Union, this does not affect your rights under applicable consumer protection laws.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
